Welcome to EMI Web.in, a website design and digital services brand operated under its parent business Yellow Petals.

By accessing this website, communicating with us, requesting a quotation, placing an order, making a payment, approving a design, or using any service provided by EMI Web.in, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

These Terms & Conditions apply to website design, website development, domain and hosting arrangements, payment plans, digital marketing and other related services provided by EMI Web.in.


1. ABOUT EMI WEB.IN

EMI Web.in operates under its parent business, Yellow Petals.

EMI Web.in is a service brand and does not operate as a bank, financial institution, lender, loan provider, EMI financing company or credit provider.

Our payment plans are commercial payment arrangements between the customer and Yellow Petals for the services being provided.

They are not loans, credit facilities or third-party EMI financing schemes.


2. WEBSITE SERVICES

EMI Web.in provides professional website design and development services according to the requirements discussed and agreed with the customer.

Depending on the selected plan, services may include:

  • Business website design

  • E-commerce website design

  • Custom website development

  • Responsive/mobile-friendly design

  • Domain registration

  • Website hosting

  • SSL

  • Website configuration

  • Basic website setup

  • Product/service presentation

  • Contact and enquiry functionality

  • Other features specifically agreed before development

The exact scope of a project is determined by the selected plan, quotation, written communication and requirements agreed between EMI Web.in and the customer.

Any feature, integration, functionality or third-party service not included in the agreed scope may be charged separately.


3. PRICING

Our current website plans may include:

Business Website

Website value: ₹10,000

Full payment: ₹9,000

3-month payment plan:
₹4,000 + ₹3,000 + ₹3,000

6-month payment plan:
₹3,500 + ₹1,300 × 5

E-commerce Website

Website value: ₹20,000

Full payment: ₹18,000

3-month payment plan:
₹8,000 + ₹6,000 + ₹6,000

6-month payment plan:
₹5,000 + ₹3,000 × 5

Custom Website

Website value: ₹35,000

Full payment: ₹31,500

3-month payment plan:
₹13,000 + ₹11,000 + ₹11,000

6-month payment plan:
₹9,000 + ₹5,200 × 5

Prices, offers and plans may change for new customers without affecting an already accepted order, quotation or payment arrangement unless otherwise agreed.

Any applicable taxes, government charges, third-party charges or additional services will be communicated where applicable.


4. PAYMENT PLANS ARE NOT LOANS OR FINANCIAL EMI

The term “EMI” in EMI Web.in refers to our flexible payment structure.

EMI Web.in and Yellow Petals:

  • Do not provide loans.

  • Do not provide credit.

  • Do not act as a financial institution.

  • Do not provide financing through a bank or NBFC.

  • Do not charge interest on the advertised payment plans unless expressly stated in writing.

  • Do not force customers to link a credit/debit card.

  • Do not require automatic deductions.

  • Do not operate automatic payment mandates.

All payments are made manually according to the payment arrangement agreed between the customer and Yellow Petals.


5. OFFICIAL PAYMENT COMMUNICATION

For security purposes, payment instructions for EMI Web.in services will be provided through our official communication channels:

Customers should verify payment instructions before making any payment.

EMI Web.in / Yellow Petals will not be responsible for payments made to an unauthorised person, unofficial number, fraudulent account, impersonator or any third party where the payment details were not provided or confirmed through our official communication channels.

Customers should contact us if they receive payment instructions that appear suspicious, inconsistent or different from the instructions previously provided.


6. PAYMENTS ARE MADE TO YELLOW PETALS

All payments for EMI Web.in services are made in favour of the parent business Yellow Petals.

EMI Web.in is the service brand through which the website and related services are offered.

A payment made to Yellow Petals for an EMI Web.in service shall be treated as payment towards the corresponding EMI Web.in service/order.


7. PAYMENT DUE DATES

The payment schedule agreed with the customer will specify the applicable payment dates or payment periods.

The customer is responsible for making each payment on or before its due date.

No automatic deduction will be attempted by EMI Web.in.

If a scheduled payment is not received by the applicable due date, EMI Web.in may pause the website and related services.


8. WEBSITE PAUSE FOR OVERDUE PAYMENTS

Where a customer has selected a payment plan and fails to make a scheduled payment by the agreed due date:

  • The website may be paused.

  • Website access to visitors may be disabled.

  • Related services may be suspended.

  • Work on pending development may be stopped.

  • The website may remain paused until the outstanding payment is received and processed.

The website will not automatically become active merely because the customer subsequently makes contact.

Reactivation will take place after the applicable outstanding amount has been received and any necessary technical reactivation has been completed.

Any additional work required because of prolonged suspension, technical changes, hosting issues or third-party changes may be separately chargeable where applicable.


9. DOMAIN AND HOSTING

Where domain and hosting are included in the selected plan, EMI Web.in may arrange the domain and hosting on behalf of the customer.

The domain registration will be made using the customer’s details wherever the registrar permits and requires such registration.

The customer may be required to provide valid identification or verification information for domain registration, including government-issued identification where required by the domain registrar or applicable verification requirements.

Possible verification may include:

  • PAN Card

  • Aadhaar Card

  • Voter ID

  • Other accepted identification

  • OTP or email verification

  • Registrar verification

The exact requirements depend on the domain registrar, hosting provider, domain extension and applicable rules.


10. DOMAIN / HOSTING MANAGEMENT DURING PAYMENT PLANS

Because EMI Web.in provides website services under a part-payment arrangement, domain and hosting accounts may be managed by EMI Web.in / Yellow Petals during the payment-plan period.

This arrangement is intended to ensure continuity of the website, proper management of hosting and domain services, and protection of the service provider while outstanding payments remain due.

During an active payment plan:

  • Domain and hosting login credentials may not be provided to the customer.

  • Customers should not independently alter registrar or hosting settings.

  • Customers should not transfer the domain without written coordination with EMI Web.in.

  • Customers should not change DNS, nameservers or hosting configuration without approval where such changes may affect the website.

This does not mean that the customer loses their contractual rights to the domain registered in their details.


11. DOMAIN OWNERSHIP AND TRANSFER

Once all website payments due under the agreed website plan have been completed, the customer may request transfer or management of the domain and hosting to their own account, subject to:

  • Registrar rules

  • Domain transfer rules

  • Domain lock periods

  • Verification requirements

  • Pending registrar requirements

  • Any applicable third-party fees

Alternatively, the customer may request EMI Web.in / Yellow Petals to continue managing domain and hosting renewal on their behalf.

In such cases, the applicable renewal amount will be communicated before renewal.


12. DOMAIN AND HOSTING RENEWALS

The included domain and hosting period is normally one year unless otherwise stated in writing.

Renewal after the included period is not included in the original website price.

EMI Web.in may inform the customer about upcoming renewal through:

  • Email

  • Phone

  • WhatsApp

We aim to provide renewal information approximately one week before the expected renewal date where reasonably possible.

The customer remains responsible for ensuring that renewal payment is completed before expiry.

If renewal is not completed:

  • Hosting may expire.

  • The website may become inaccessible.

  • The domain may expire.

  • Domain-related services may be interrupted.

  • Recovery or restoration may become subject to third-party registrar rules and additional charges.

EMI Web.in cannot guarantee recovery of an expired domain where the domain registrar has released, auctioned, suspended, deleted or otherwise processed the domain according to its own rules.


13. WEBSITE DESIGN AND APPROVAL

Website development begins after the required initial payment and project requirements have been received.

The customer is expected to provide accurate:

  • Business information

  • Contact details

  • Product/service information

  • Images

  • Logos

  • Written content

  • Pricing

  • Legal information

  • Other materials necessary for the project

Delays in providing required material may affect the project timeline.

A working demo may be provided within approximately 4–5 days or within another timeline agreed for the project.

The customer may review the demo and request reasonable changes within the agreed scope.


14. CHANGES AND ADDITIONAL WORK

Reasonable revisions relating to the agreed project scope may be included.

Requests that materially change the original project may be treated as additional work.

Examples may include:

  • Additional pages

  • Major redesigns

  • New functionality

  • Custom programming

  • Additional integrations

  • Large numbers of products

  • Additional payment gateways

  • Advanced third-party integrations

  • Additional automation

  • Major content creation

  • Additional design concepts after approval

Additional work will be communicated before being undertaken wherever reasonably possible.


15. CUSTOMER CONTENT AND RIGHTS

The customer is responsible for ensuring that all content supplied to EMI Web.in is lawful and that the customer has the right to use it.

This includes:

  • Text

  • Photographs

  • Videos

  • Logos

  • Product images

  • Trademarks

  • Brand assets

  • Testimonials

  • Documents

  • Other intellectual property

The customer must not provide content that infringes another person’s copyright, trademark, privacy rights or other legal rights.

EMI Web.in may refuse to publish content that appears unlawful, misleading, fraudulent, infringing, abusive or otherwise unsuitable for publication.


16. WEBSITE CONTENT RESPONSIBILITY

The customer remains responsible for the accuracy and legality of business information displayed on the website.

Unless separately agreed, EMI Web.in does not act as the customer’s legal, tax, financial, medical or regulatory advisor.

The customer is responsible for obtaining and publishing any legally required:

  • Terms and conditions

  • Privacy policy

  • Refund policy

  • Shipping policy

  • Product disclosures

  • Licences

  • Registrations

  • Regulatory information

  • Industry-specific disclosures


17. WEBSITE FUNCTIONALITY AND THIRD-PARTY SERVICES

Websites may rely on third-party services including:

  • Domain registrars

  • Hosting providers

  • Payment gateways

  • Google services

  • Meta services

  • Email providers

  • Plugins

  • Themes

  • APIs

  • Software libraries

  • Other external platforms

EMI Web.in does not control third-party platforms and therefore cannot guarantee uninterrupted operation of third-party services.

Changes, suspension, pricing changes, outages, compatibility issues or policy changes by third parties may affect website functionality.


18. WEBSITE SECURITY

EMI Web.in will take reasonable measures within its control to configure and maintain the website.

However, no website connected to the internet can be guaranteed to be completely immune from:

  • Hacking

  • Malware

  • Server failure

  • Plugin vulnerabilities

  • Brute-force attacks

  • Third-party attacks

  • Data loss

  • Internet outages

  • Hosting failures

Customers should not install unauthorised software, plugins, themes or scripts that may compromise website security.


19. DIGITAL MARKETING SERVICES

EMI Web.in may also provide digital marketing services.

Marketing arrangements, pricing, advertising budgets, deliverables, campaign duration, platforms and objectives will be communicated separately through email, phone or WhatsApp.

Digital marketing is a separate service from website development.

A website does not automatically guarantee:

  • Sales

  • Leads

  • Enquiries

  • Bookings

  • Search rankings

  • Advertising results

  • Revenue

  • Business growth

Marketing performance depends on numerous factors including:

  • Advertising budget

  • Location

  • Competition

  • Target audience

  • Product/service demand

  • Pricing

  • Offer

  • Website experience

  • Creative quality

  • Market conditions

  • Platform algorithms

  • Customer response

  • Sales process

EMI Web.in will provide marketing services according to the agreed scope and professional capabilities but does not guarantee a particular commercial result.


20. NO GUARANTEE OF BUSINESS SUCCESS

A website is primarily a digital platform for presenting a business, its products or services and enabling visitors to contact, enquire, purchase, book or otherwise interact with the business.

A website by itself is not a guarantee of business growth.

Similarly, digital marketing can improve visibility and generate opportunities but cannot guarantee that every visitor will convert into a customer.

No statement by EMI Web.in should be interpreted as a guarantee of a specific revenue, profit, sales, lead or conversion level unless expressly agreed in a separate written contract and legally permissible.


21. WEBSITE PAUSE, EXPIRY AND TERMINATION

EMI Web.in may suspend or terminate services where:

  • Payments remain overdue.

  • The customer provides unlawful content.

  • The customer uses the website for illegal activity.

  • The customer attempts unauthorised access to systems.

  • The customer materially breaches these Terms.

  • Continued service would create legal, security or operational risk.

Where reasonably possible, the customer will be informed before termination.

Suspension caused by non-payment does not cancel outstanding payment obligations.


22. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing:

  • EMI Web.in retains rights in its pre-existing tools, systems, design methods, reusable code, frameworks and proprietary processes.

  • Third-party themes, plugins, fonts, stock assets and software remain subject to their respective licences.

  • Customer-owned logos, trademarks, photographs and business content remain the property of the customer or their respective owners.

  • The customer’s right to use the completed website is subject to completion of the agreed payment obligations.

Any transfer of specific source code, development files, premium licences or other project assets will be subject to the agreed scope and applicable third-party licence restrictions.


23. COMMUNICATIONS

The customer agrees that project-related communication may take place through:

  • Email

  • WhatsApp

  • Telephone

  • Other communication methods mutually agreed

Important approvals, payment arrangements, changes to scope and other material decisions may be recorded through these communication channels.

The customer is responsible for keeping their contact details current.


24. FORCE MAJEURE

EMI Web.in will not be responsible for delays or interruptions caused by circumstances beyond reasonable control, including:

  • Natural disasters

  • Fire

  • Flood

  • Government restrictions

  • Internet outages

  • Hosting failures

  • Registrar failures

  • Cyber incidents

  • Third-party service outages

  • Strikes

  • War

  • Civil disturbances

  • Power failures

  • Other events beyond reasonable control

Where possible, reasonable efforts will be made to restore or continue the service.


25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, EMI Web.in / Yellow Petals shall not be liable for indirect, incidental, consequential or business losses arising from:

  • Loss of profits

  • Loss of expected sales

  • Loss of business opportunity

  • Loss caused by third-party platforms

  • Search-engine ranking changes

  • Advertising-platform changes

  • Hosting or registrar outages

  • Customer misuse

  • Unauthorised third-party modifications

  • Loss caused by inaccurate information supplied by the customer

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded or restricted under applicable law.


26. LEGAL COMPLIANCE

The customer is responsible for ensuring that their business, products, services, advertisements and website content comply with all applicable laws and regulations.

EMI Web.in may assist with website implementation but does not provide legal advice unless separately contracted with an appropriately qualified professional.


27. DISPUTE RESOLUTION AND JURISDICTION

Customers are encouraged to first contact EMI Web.in / Yellow Petals so that an issue can be reviewed and resolved amicably.

The parent business operates from Kolkata, West Bengal, India.

Subject to applicable law and any mandatory jurisdiction available to a consumer or other party under applicable legislation, contractual disputes relating to the services shall be subject to the jurisdiction of the competent courts and authorities in Kolkata, West Bengal, India.

Nothing in this clause is intended to restrict any statutory right or remedy that cannot legally be excluded.


28. CHANGES TO THESE TERMS

EMI Web.in may update these Terms & Conditions from time to time.

The version applicable to an existing order will generally be the version accepted at the time of the order, unless an update is required by law or is mutually agreed.

The latest version will be published on this website.


29. ACCEPTANCE

By requesting services, making a payment, approving a design or continuing with a project after receiving these Terms, the customer acknowledges that they have had an opportunity to read these Terms and agrees to be bound by them, subject to applicable law.
